Amaryllo's ENC is a cloud-based encryption software platform. Our products make it easy for people to securely encrypt, manage, and access their files anytime, anywhere. ENC is available on smartphones and tablets allowing you to access your encrypted files across the devices of your choice.

This document, the Amaryllo ENC Terms of Service (“Terms”), outlines the terms regarding your use of our software. These Terms constitute a legally binding contract between you and Amaryllo, so please read them carefully. If you do not agree with these Terms, do not register for or use any of the Services.

By using, accessing, or browsing Amaryllo ENC, including its applications on smartphones, tablets, or other properties owned or operated by Amaryllo, or by registering for an Amaryllo account (“Services”), you agree to be bound by these Terms for the Services provided by Amaryllo (“Amaryllo” or “we”).

If you are using the Services on behalf of an organization, you agree to these Terms on behalf of that organization and represent that you have the authority to bind that organization to these Terms (in which case, "you" and "your" refer to that organization) unless that organization has a separate paid contract in effect with us, in which case the terms of that contract will govern your use of the Services.

To use the Services, you must be legally permitted to accept these Terms.

Your use of ENC is subject to our privacy practices. We collect, use, and protect your personal data to provide and improve ENC services. For details, please see the full privacy policy at https://enc.amaryllo.us.com/privacy.

We may update these Terms at any time. Continued use of ENC constitutes your acceptance of any changes.

Using our Services and accessing your Content requires an email address and a password. Email address is the account you use to gain access to your files. Your account is valuable, and you are responsible for maintaining its confidentiality and security. Amaryllo is not responsible for any losses arising from the unauthorized use of your account. Please contact Amaryllo if you suspect that your account has been compromised.

It is solely your responsibility to ensure that you keep your password confidential. WE STRONGLY RECOMMEND THAT YOU ABIDE BY BEST PRACTICES WHEN CHOOSING A PASSWORD FOR YOUR ACCOUNT and may require you to follow rules such as using special symbols or a minimum number of characters in your password, as well as prompt you to change passwords from time to time, and prohibit using previously used passwords. Do not share your password with anyone else, including Amaryllo representative. We will never ask for your password. You understand the security risks if you do decide to share your password with any other person, and that you will be held responsible for any illegal or prohibited herein actions that that person may take with regard to your account and/or Content.

By registering with Amaryllo or signing up for Services, you understand and consent to us sending you (including via email) information regarding the Services, such as (a) notices about your use of the Services, including notices of violations of use; (b) updates to the Services and new features or products; (c) administrative messages and other information; and (d) advertising, marketing, and other materials regarding Amaryllo's products and services. Please review your settings in your account to control the messages you receive from us or you may choose to opt-out of receiving advertising and marketing materials by unsubscribing from such communication s by following the instructions in the message. Notices emailed to you will be considered given and received when the email is sent. If you do not consent to receive notices (other than advertising and marketing materials) electronically, you must stop using the Services.

We call all the electronic documents that you upload and store on your account “Content”. All Content uploaded by you into your account is yours! We don't control, verify, or endorse the Content that you or others put on the Services. You are responsible for: (a) all Content in your ENC and HP account(s) and that you share through the Services and (b) making sure that you have all the rights you need in relation to the Content. In addition, by storing, using, or transmitting Content you confirm that you will not violate any law or these Terms. You agree that when you share your Content, you may be allowing other people to access and use your Content in any way without further restriction or compensation to you.

You are solely responsible for the security of your Content and understand that while there may be tools available to help you reset your password, losing both your password and the associated email account you used when you signed up for the service will result in you losing access to your Content.

Amaryllo respects the intellectual property of others and will respond to notices of alleged copyright infringement that comply with the law. We reserve the right to delete or disable Content alleged to violate copyright laws or these Terms and reserve the right to terminate the account(s) of violators.

We reserve the right to suspend or terminate your access to the Service at any time in our sole discretion if a) you are in breach of these Terms; or b) your use of the Services could cause a risk of harm or loss to Amaryllo or our other users; or c) Amaryllo declines to renew your Subscription Period. When reasonable and as permitted by law, Amaryllo will provide you reasonable advance notice of this change as well as an opportunity to correct any actions that led to Amaryllo’s decision. We will not be able to provide this advance notice if you are in material breach of these Terms, or if such notice would lead to civil or criminal liability for Amaryllo, or if providing notice would compromise our ability to provide the Services to our other users. For the avoidance of doubt, Amaryllo may still make a determination that it does not want to continue offering you access to the Service at any time for any or no reason. You understand that if your account is suspended or terminated, you may no longer have access to the Content that is stored with the Services. It is your responsibility to download or back up your Content prior to termination of Service.

There are certain things that we do not promise about the Services. Other than as expressly stated, we do not make any commitments about the specific functionality available through the Services, their reliability, availability, or ability to meet your needs.

TO THE EXTENT NOT PROHIBITED BY LAW, AMARYLLO AND ITS AFFILIATES (AND ASSOCIATED SERVICE PROVIDERS) (A) PROVIDE THE SERVICES "AS IS", "WITH ALL FAULTS" AND "AS AVAILABLE", (B) MAKE NO REPRESENTATIONS OR WARRANTIES OR CONDITIONS WHETHER EXPRESS OR IMPLIED (E.G. WARRANTY OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT), AND (C) DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR FREE OF HARMFUL COMPONENTS, OR THAT THE CONTENT WILL BE SECURE OR NOT OTHERWISE LOST OR DAMAGED.

IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SERVICE OR WITH THESE TERMS OF SERVICE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE SERVICES.

You must comply with all domestic and international export laws and regulations that apply to your use of the Services, such as software. These laws include restrictions on destinations, end-users, and end-use.

(a) Contact Amaryllo First. If a dispute arises between you and Amaryllo, our goal is to learn about and address your concerns. You agree that you will notify Amaryllo about any dispute you have with Amaryllo regarding these Terms & Conditions by contacting Amaryllo at cloud.ai@amaryllo.us.

(b) You must first present any claim or dispute to Amaryllo by contacting Amaryllo at support.ai@amaryllo.us to allow us an opportunity to resolve the dispute. You may request arbitration if your claim or dispute cannot be resolved within 90 days after presenting the claim or dispute to Amaryllo. Amaryllo may request arbitration against you at any time after it has notified you of a claim or dispute. Claims will be heard by a single arbitrator. The arbitrator may not award relief in excess of or contrary to what these Terms & Conditions provide, order consolidation or arbitration on a class-wide or representative basis, award punitive or consequential damages or any other damages aside from the prevailing party's actual damages, or order injunctive or declaratory relief, except that the arbitrator may award on individual basis damages required by statute and may order injunctive or declaratory relief pursuant to an applicable consumer protection statute. Any arbitration shall be confidential, and neither you nor Amaryllo nor the arbitrator may disclose the existence, content, or results of any arbitration, except as may be required by law or for purposes of enforcement or appeal of the arbitration award. Judgment on any arbitration award may be entered in any court having proper jurisdiction. If any portion of this arbitration section is determined by a court to be inapplicable or invalid, then the remainder shall still be given full force and effect.

(c) No Class Actions. There shall be no right or authority for any claims subject to this arbitration section to be arbitrated on a class action or consolidated basis or on bases involving claims brought in a purported representative capacity on behalf of the general public (including, but not limited to, as a private attorney general).

(d) Fees and Expenses. All administrative fees and expenses of arbitration will be divided equally between you and Amaryllo. Each party will bear the expense of its own counsel, experts, witnesses, and preparation and presentation of evidence at the arbitration hearing.

(e) YOU MUST CONTACT AMARYLLO WITHIN ONE (1) YEAR OF THE DATE OF THE OCCURRENCE OF THE EVENT OR FACTS GIVING RISE TO A DISPUTE, OR YOU WAIVE THE RIGHT TO PURSUE ANY CLAIM BASED UPON SUCH EVENT, FACTS, OR DISPUTE.

(f) Protection of Confidentiality and Intellectual Property Rights. Notwithstanding the foregoing, Amaryllo may seek injunctive or other equitable relief to protect its confidential information and intellectual property rights or to prevent loss of data or damage to its servers in any court of competent jurisdiction.

(g) This arbitration section shall survive termination of these Terms & Conditions.

(a) Service Plans
ENC is provided through one-time access codes. By purchasing a code, you gain the right to use the ENC software according to the features included with that code (“Service Plan”). ENC may also offer Trial Plans that allow temporary access for evaluation purposes. Trial Plans may automatically expire at the end of the trial period.

(b) Fees
The purchase price of each ENC Service Plan does not include applicable taxes, which may be charged separately. All payments are non-refundable, even if you stop using the software.

(c) Changing Your Service Plan
ENC Service Plans are fixed based on the features included in your one-time code. Upgrades may be available if you purchase a new code with additional features. Downgrades are not applicable. If you no longer have a valid Service Plan or do not redeem your code, access to ENC will be disabled.

(d) Trial Plans
If you are using a Trial Plan, it will automatically expire at the end of the trial period. To continue using ENC after a Trial Plan, you must purchase a one-time access code.

(e) Additional Benefits
Amaryllo may provide additional benefits with certain Service Plans, such as access to new features or special promotions (“Additional Benefits”). Additional Benefits are separate from your Service Plan and may be subject to additional terms.

(f) Account Limitations
If you fail to redeem your ENC code or otherwise comply with the terms of your Service Plan, Amaryllo reserves the right to disable access to the software, restrict functionality, or terminate your access.

If you select a paid ENC Service Plan, you must provide current, complete, and accurate payment information (e.g., credit card or other approved payment method). You authorize Amaryllo to charge your provided payment method for the ENC Service Plan you have purchased and any paid features you select.

• Payment is collected at the time of purchase.
• All fees are non-refundable, even if you stop using ENC or do not redeem your access code.
• You are responsible for any applicable taxes associated with your purchase.

Failure to provide valid payment or attempted use of an unauthorized payment method may result in suspension or termination of access to ENC. Once payment is successfully received, you will have full access to the ENC software features associated with your Service Plan.

(a) Use of the Software
Amaryllo may make available to you software for use in connection with ENC (the “Software”). Your use of the Software is subject to Amaryllo ENC Terms of Service.

(b) Information Provided to Amaryllo
ENC and the Software may provide Amaryllo with information relating to your use of the Software and its performance, as well as information regarding the devices on which you download or use ENC. For example, this information may include device type, mobile network connectivity, location of the device, when the Software is launched, session lengths, content usage within the Software, or occurrences of technical errors. Any information we receive is subject to Amaryllo’s Privacy Policy.

(c) Automatic Software Updates
Amaryllo may from time to time develop patches, bug fixes, updates, upgrades, and other modifications to improve the performance of the ENC Software and related services (“Updates”). These Updates may be installed automatically without additional notice or consent. By using ENC, you consent to automatic Updates. If you do not want Updates, your remedy is to stop using the Software. You may be required to install Updates to continue using ENC, and you agree to promptly install any Updates provided by Amaryllo. Your continued use of ENC constitutes your agreement to these terms.

If your free or trial Amaryllo ENC account remains inactive for 6 months, Amaryllo reserves the right to permanently delete the account, along with all encrypted files and content stored within it. You are responsible for ensuring that your account is active and for backing up any important content before periods of extended inactivity.
